The team works in tandem with the clients to provide expert counsel across industries on a wide -range of corporate advisory issues, ranging from mergers, demergers, disputes, purchase agreements and subsidiary creation to multi-jurisdictional corporate transactions, and disinvestment by shareholders.

a. Transaction Advisory

Our members have years of experience in corporate advisory offering pre-transaction corporate advisory. This has involved reviewing and drafting a range of documents including agreements. Some of the work our members have done in this regard includes having:

• Advised clients on restructuring Singapore-based companies between entities in Australia, New Zealand and Malaysia, and drafted Instruments of transfer for the matter in question.
• Advised clients on (sanctions-related) high-risk partnerships and drafted Novation agreements to the same.
• Negotiated and drafted Share Purchase and Shareholder Agreements in respect of transactions including coordinating post-closing actions for several clients.

b. Investment Advisory

Our team has considerable expertise in the cross-border investment advisory space and has assisted clients with the setup of investment holding companies in Singapore, particularly with reference to the Singapore – India corridor and the regulations governing outbound investment from India.
